1. THE CALMORA PLATFORM MODEL (THE “MSO” DISCLOSURE)

Calmora (the “Company,” “we,” “us,” or “our”) operates as a Management Services Organization (MSO). Calmora is a brand name and is not a healthcare provider, medical group, or pharmacy.

  • Administrative Role: Calmora’s role is strictly limited to providing the technological interface, administrative support, scheduling, and billing services via our integrations with Beluga Health and CarePortals.
  • No Practice of Medicine: Calmora does not practice medicine or pharmacy. All clinical services are rendered solely by independent licensed clinicians (the “Providers”).
  • Total Clinical Autonomy: Providers maintain absolute and unreviewable clinical autonomy. Calmora does not exercise control over, or interference with, the clinical methods, professional judgment, or treatment decisions used by the Providers.

2. TRADEMARK DISCLOSURE & NOMINAL USE

Calmora acknowledges that Mounjaro®, Zepbound®, and Wegovy® are registered trademarks of their respective owners. Our use of these terms or any other medication brand names on this platform is strictly for identifying the types of treatments that may be discussed or prescribed by independent Providers and is intended as a descriptive, nominal fair use. Calmora is not affiliated with, sponsored by, or endorsed by these trademark owners.

3. CONTENT DISCLAIMER

All information provided on the Calmora platform, including text, graphics, and educational resources, is for informational purposes only regarding metabolic health and weight loss. No content on this site is intended to serve as medical advice or a guarantee of a specific clinical outcome. You agree that your reliance on any information provided by Calmora is at your own risk.

4. METABOLIC LIFESTYLE & PHYSICAL ACTIVITY WAIVER

Suggestions regarding exercise, resistance training, dietary adjustments, and metabolic optimization are provided as general health information and are NOT medical advice. You are strictly advised to consult with your assigned Provider before making substantial changes to your diet or beginning new physical exercise routines, especially if you have pre-existing cardiovascular or metabolic conditions.

5. MEDICATION SAFETY & OPERATIONAL LIMITATIONS

You acknowledge that metabolic treatments, including GLP-1 and dual-agonist medications (e.g., Tirzepatide), may cause side effects, including but not limited to nausea, vomiting, diarrhea, dehydration, and potential hypoglycemia (low blood sugar).

  • Individual Reaction: It is your sole responsibility to monitor your reaction to the medication. If you experience severe side effects or impairment, you are advised to contact your Provider immediately.
  • No Controlled Substances: At this time, Calmora does not facilitate the prescription, dispensing, administration, or distribution of controlled substances.

6. PHARMACY FULFILLMENT & COMPOUNDING DISCLOSURE

Calmora does not own, operate, or control any pharmacy.

  • Compounded Medications: Based on clinical necessity and drug availability, Providers may prescribe compounded medications. These are prepared by third-party, licensed 503A or 503B compounding pharmacies. You acknowledge that compounded medications are prepared to meet an individual patient’s needs and are not independently FDA-approved, although the pharmacies are regulated by state and federal authorities.
  • Pharmacy Wall: The legal contract for the sale and fulfillment of medication is strictly between you and the third-party licensed pharmacy.

7. THE CHECKOUT FLOW & ENROLLMENT PROCESS

Calmora utilizes an automated checkout and intake flow to ensure clinical efficiency. By starting the enrollment process, you acknowledge the following three-step sequence:

  • Step 1 — Account Creation & EMR Registration: You will first create a secure account. This automatically generates your patient record within our HIPAA-compliant EMR (Electronic Medical Record) portal.
  • Step 2 — Payment & Order Initiation: You will complete payment for your selected weight loss program. This all-inclusive fee covers the administrative facilitation, platform access, the clinical evaluation, and—upon the Provider’s determination of medical necessity—the cost of the medication and associated shipping. Upon confirmation, an order is generated in the EMR with a status of “Processing.”
  • Step 3 — Clinical Consultation & Evaluation: Following payment, you will proceed to the consultation step. This involves completing detailed medical intake forms and, depending on your state and clinical profile, scheduling a consultation with a Provider via the Beluga Health gateway. Your order remains in “Processing” until a Provider has reviewed your case and determined medical suitability.

8. BILLING, SUBSCRIPTIONS, AND REFUND POLICY

  • Program Inclusions: Your subscription fee is all-inclusive and covers the clinical evaluation, platform access, and, where prescribed, the cost of the medication and shipping.
  • Clinical Denial & Administrative Fee: In the event that your assigned Provider determines, in their sole professional judgment, that the requested treatment is not medically appropriate for you, you will be issued a refund of your program fee minus a $75 non-refundable Administrative & Consultation Fee. This fee covers the cost of the clinical review, EMR record creation, and the Provider’s professional time.
  • Recurring Billing: By enrolling in a subscription plan, you authorize Calmora to charge your payment method on a recurring basis. You may cancel your subscription at any time; however, cancellations must be made at least five (5) days prior to your next billing date.
  • No Refunds for Active Treatment: Once a Provider has issued a prescription and the order has moved to “Fulfillment” status at the pharmacy, the full program fee is non-refundable, as it covers custom-prepared medical treatments and professional services already rendered.

9. PROHIBITION OF RECORDING

To protect the privacy of Providers and the integrity of the clinical process, you are strictly prohibited from recording, filming, or distributing any portion of your telehealth encounters.

10. IDENTITY VERIFICATION & LABORATORY COMPLIANCE

  • Identity: You must provide a valid government-issued ID and participate in all identity verification protocols required by the Platform and Beluga Health.
  • Labs: Continued treatment is contingent upon providing required laboratory results (blood work) to your Provider for safety monitoring. Failure to provide labs may result in a suspension of medication refills.

11. INDEMNIFICATION & BROAD RELEASE OF LIABILITY

To the fullest extent permitted by law, you agree to release and hold harmless Calmora, its parent company, and affiliates from any and all claims, including medical malpractice arising from the clinical acts of independent Providers, or adverse reactions resulting from medications prescribed.

12. LIMITATION OF LIABILITY

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF CALMORA EXCEED THE TOTAL AMOUNT PAID BY YOU TO CALMORA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

13. MANDATORY ARBITRATION & CLASS ACTION WAIVER

Any dispute arising out of this Agreement shall be resolved through final and binding arbitration in the State of Wyoming. YOU AGREE THAT ANY CLAIM WILL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A MEMBER OF ANY CLASS PROCEEDING.

14. SEVERABILITY & SURVIVAL

If any portion of this Agreement is found unenforceable, the remaining sections remain in full force and effect.
